Job Description:

Arrow Electronics is looking for an exceptionally organized self-starter to join our Corporate Governance team as a Senior Paralegal, Corporate Governance. You will be a key part of the Legal team which is responsible for all aspects of Arrow's corporate governance function.

What You'll Be Doing:

  • Assist with preparing materials for public company Board and Board committee meetings, manage the Board portal, and liaise with directors and senior management on logistics for Board and shareholder meetings
  • Partner with Legal, Treasury, Finance, Human Resources, ESG, and Tax teams on governance and corporate and subsidiary matters

  • Assisting with entity formations, dissolutions, internal restructurings, and intercompany transactions
  • Preparing governance documents, including organizational documents, resolutions, and other documents required in connection with entity maintenance
  • Maintaining the entity management database and coordinating annual filings and other requirements with registered agents and outside counsel
  • Prepare and file Section 16 reports (e.g., Forms 3 and 4) in coordination with attorneys and Executive Compensation team
  • Respond to Know-Your-Customer, due diligence, and internal stakeholder requests
  • Assist the Legal and Treasury teams on capital markets and credit transactions, including coordinating due diligence and preparing certificates and other ancillary transaction documents
  • Assist the Legal team on M&A matters, including due diligence review, coordination with other internal groups, and preparation of ancillary transaction documents
  • Conduct research and apply institutional knowledge and knowledge of laws, rules, and regulations to identify solutions or to formulate an approach or strategy
  • Assist with drafting and revising internal policies relating to corporate governance and securities matters
  • Provide support with invoicing review and approval, accrual, expense tracking, internal reporting, and other legal related spend management
  • Support the preparation of SEC filings (e.g., 10-Ks, 10-Qs, 8-Ks, and proxy statements)
  • Assist in coordination of internal director and officer signatures on various corporate documents

  • What We Are Looking For:

    • Minimum four-year college degree; paralegal certificate and/or relevant work experience strongly preferred
    • At least 8-10 years of corporate paralegal experience, with significant public company and securities experience at a top-tier law firm or an in-house legal department at a global public company preferred
    • Excellent written and verbal communication and interpersonal skills, with the ability to maintain confidentiality and discretion when dealing with sensitive corporate matters
    • Ability to work independently with minimal oversight but also collaboratively as part of a team
    • Ability to manage complex documentation with strong organizational skills and attention to detail

    Work Arrangement:

    Hybrid: Tuesday, Wednesday, Thursday required office days for Dry Creek/Panorama Office sites; Monday, Friday-work from home.

    Annual Hiring Range/Hourly Rate:

    $99,100.00 - $145,200.00

    Actual compensation offer to candidate may vary from posted hiring range based upon geographic location, work experience, education, and/or skill level. The pay ratio between base pay and target incentive (if applicable) will be finalized at offer.
