The VP, Assistant General Counsel--Global Contracts Team (GCT) will be responsible for leading the Legal Department center of excellence supporting contract negotiations and related matters for ADP and its businesses. The role will report directly to the Chief Legal Officer of ADP, with a strong dotted line reporting relationship to the President of Global Sales. The VP, Assistant General Counsel--GCT will serve as a critical member of the senior leadership team of the Legal Department and will also serve as a critical member of the Global Sales team. The role will oversee all contract matters related to Global Sales business unit contracts, strategic contracts and vendor/procurement contracts. The role also supports other legal aspects of the Global Sales organization including compliance and regulatory aspects impacting commercial operations.

GENERAL RESPONSIBILITIES:

  • Responsible for the contracts and other matters within the GCT, and the governance process for coordinating with the ADP Legal teams supporting the BUs/Functions that are party to the contracts or other matters.
  • Responsible for development and oversight of the GCT's processes for the negotiation and administration of corporate documents such as client agreements, technology licenses, service agreements and other commercial agreements within the scope of the GCT, focusing on the standardization of contract forms, efficient utilization of resources and effective management of the input and support of relevant ADP stakeholders (e.g., BUs, Finance, Risk Management, Sales Operations).
  • Oversight of the GCT's processes will include the end-to-end process and content for all contracts in, including finding ways to simplify and streamline both processes and content to support ADP's growth objectives, while balancing the need to protect against material risks to the Company.
  • Will organize and provide periodic training to members of the GCT to ensure consistent understanding of contract processes and content, to foster a collective mindset of continuous improvement.
  • Accountable for key performance success measures for the GCT to address contract throughput and contract quality, associate efficiency, internal and external NPS results, as well as associate engagement, among other things.
  • Responsible for the deployment of appropriate technology within the GCT in support of the objectives outlined above.
  • As it relates to all contract matters, role will require close coordination with the Global Compliance organization.
  • Provide counsel and advice in monitoring and resolving disputes, litigation, investigations and regulatory matters related to the agreements negotiated within the GCT.
  • Responsible for monitoring all legal work and fees associated with outside legal counsel to ensure high-quality work performed within budget.
  • Provide legal counsel and advice to the Global Sales organization related to compensation, sales learning, technology deployments, compliance, and regulatory matters impacting the Global Sales organization.
  • Work collaboratively with the Global Compliance organization to provide support regarding marketing, security and privacy issues relating to the activities of ADP's sales associates and processes involved in selling.
  • Work collaboratively with the Global Ethics to support investigations involving sales associates.
  • Maintain current knowledge of legal issues of importance to ADP through participation in continuing legal education and membership in appropriate bar and professional associations.

MANAGERIAL RESPONSIBILITY:

  • Manages additional counsel and non-counsel staff in various ADP locations. Responsible for developing leaders, managing performance, compensation decisions and hiring and retaining top talent.

Qualifications:

  • JD degree required, licensed to practice law in US
  • 15+ years of extensive legal experience in a corporate law firm and/or as an in-house counsel with specific emphasis on contract negotiation, drafting, interpretation and contract process management.
  • Experience with outsourcing agreements, software licensing and other technology-related contracts is also useful.
  • Experience advising a business or operations in connection with legal aspects relating to the activities of the business.
  • Strong business and legal judgment essential.
  • Must be proficient in ability to assess risks and opportunities and determine right level of risks to assume given the benefits to ADP.
  • Strong management skills with ability to lead, motivate, and mentor subordinates.
  • Must be analytical, detail oriented, and possess good organizational skills.
  • Must be able to manage multiple complex matters and proactively anticipate issues or problems as or before they arise.
  • Must have strong interpersonal, verbal and written communication, presentation and leadership skills.
  • Must possess a solid academic and impeccable ethics record. Excellent negotiation and drafting skills required.
  • The role will require travel as the need may arise.
